These Terms of Use (“Terms”) govern your access to and use of the Cole Heaux™ website, currently available at coleheaux.com, including its pages, content, features, forms, media, products, services, and related digital experiences (collectively, the “Site”).
Throughout these Terms, “Cole Heaux™,” “we,” “us,” and “our” refer to the owner and operator of the Site and the Cole Heaux™ brand.
By accessing or using this Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. THE COLE HEAUX™ PLATFORM

Cole Heaux™ is a personal-brand, media, lifestyle, creative, and commercial platform.
The Site may include, among other things:
  • Cole Heaux™ brand content;
  • Becoming Cole™ content;
  • Cole After Hours™ content;
  • written commentary and editorial material;
  • podcast, audio, and video content;
  • photographs and visual media;
  • illustrations and graphics;
  • original sayings, written expressions, and creative materials;
  • merchandise and apparel concepts;
  • digital products;
  • community features;
  • collaboration opportunities;
  • booking inquiries;
  • segment-participation applications;
  • pitches and submissions;
  • and other products, projects, or services introduced over time.
The availability of any feature, product, program, or service may change without notice.

2. INTELLECTUAL PROPERTY

The Site and the original content made available through it are protected by applicable intellectual-property laws.
Except where otherwise stated, Cole Heaux™ reserves all rights in its original and protectable materials, including, as applicable:
  • website copy;
  • articles;
  • scripts;
  • captions;
  • written commentary;
  • podcast and video materials;
  • photographs;
  • graphics;
  • illustrations;
  • artwork;
  • visual compositions;
  • campaign imagery;
  • downloadable materials;
  • templates;

  • original creative frameworks;
  • original pattern artwork;
  • merchandise artwork;
  • label artwork;
  • product graphics;
  • brand presentations;
  • logos;
  • wordmarks;
  • and other original creative materials.
Nothing on this Site transfers ownership of any intellectual property to you.
All rights not expressly granted are reserved.

3. COLE HEAUX™ BRAND IDENTIFIERS

The Cole Heaux™ brand includes a growing collection of names, community identifiers, recurring phrases, slogans, taglines, visual identifiers, and other source-identifying elements used across media, merchandise, community, events, digital content, and related commercial activities.

These include, where used as brand identifiers:

  • Cole Heaux™
  • Becoming Cole™
  • Cole After Hours™
  • The Heauxs
  • The facts, the sass, and no sugarcoating
  • Pull up a chair
  • Different rooms. Same woman.
  • Not becoming someone else. Becoming whole.
  • You don’t have to fit in one box here.
  • Soft. Disciplined. Intentional.
  • Same woman. Different lighting.
  • There will always be bird-brained bitches in the flock trying to cop clout, we just move along
  • and other recurring names, slogans, taglines, campaign phrases, community identifiers, and source-identifying language developed and used by Cole Heaux™.

These names, phrases, and identifiers may be protected under trademark, unfair-competition, publicity, copyright, or other applicable laws depending on how they are used and the rights recognized by law.

The use of the ™ symbol reflects a claim of trademark rights and does not represent that a mark is federally registered unless expressly stated otherwise.

You may not use Cole Heaux™ brand identifiers in a manner that falsely suggests:

  • sponsorship;
  • endorsement;
  • affiliation;
  • partnership;
  • authorization;
  • official community membership;
  • official merchandise;
  • or origin.

You may not create or operate confusingly similar:

  • brands;
  • social-media accounts;
  • fan or community identities presented as official;
  • websites;
  • domain names;
  • merchandise;
  • events;
  • media properties;
  • podcasts;
  • newsletters;
  • products;
  • services;
  • or campaigns

in a manner intended or likely to cause confusion about whether they are operated by, affiliated with, authorized by, endorsed by, or associated with Cole Heaux™.

The Heauxs

The Heauxs is used as the community and audience identity associated with the Cole Heaux™ brand.

Use of The Heauxs in a manner that falsely represents an official Cole Heaux™ community, fan organization, membership program, merchandise line, event, media property, or commercial affiliation is prohibited.

Nothing in these Terms prevents lawful commentary, discussion, criticism, or ordinary non-commercial reference to the Cole Heaux™ brand or community.

Recurring Phrases and Brand Language

Cole Heaux™ uses recurring language as part of its editorial voice, campaigns, media identity, community culture, and commercial branding.

Individual words, short phrases, slogans, and titles are not claimed to receive copyright protection merely because they appear on this Site.

However, Cole Heaux™ reserves all rights that may arise from the use of such language as trademarks, service marks, source identifiers, components of larger copyrighted works, or other legally protected brand assets.


3A. ORIGINAL QUOTES, WRITING, AND CREATIVE EXPRESSION


Cole Heaux™ publishes original writing, commentary, scripts, captions, graphics, audiovisual works, essays, creative concepts, campaign materials, and other expressive works.

While individual short phrases or ideas may not qualify for copyright protection by themselves, the original expression embodied in larger works may be protected by copyright.

You may not copy substantial portions of Cole Heaux™ original writing, scripts, posts, graphics, videos, podcast material, campaign content, or other creative works and:

  • republish them as your own;
  • remove attribution;
  • commercially exploit them;
  • sell them;
  • incorporate them into competing products;
  • reproduce them in merchandise;
  • package them into courses, guides, books, newsletters, templates, or digital products;
  • or otherwise use them beyond what applicable law permits

without prior written authorization.


4. LIMITED PERMISSION TO USE THE SITE

You are granted a limited, personal, revocable, non-exclusive, non-transferable license to access the Site for lawful personal use.
This permission does not allow you to:
  • reproduce the Site commercially;
  • redistribute protected materials;
  • sell Site content;
  • create unauthorized derivative commercial products;
  • scrape the Site;
  • build datasets from Site content;
  • copy substantial portions of the Site;
  • or otherwise exploit the Site or its content without prior written permission.

5. UNAUTHORIZED COPYING, REPOSTING, AND COMMERCIAL USE

Unless applicable law permits otherwise, you may not copy, reproduce, republish, distribute, sell, license, adapt, modify, display, transmit, commercially exploit, or create unauthorized derivative works from protected Cole Heaux™ content without prior written permission.
This includes unauthorized use of content in:
  • commercial social-media accounts;
  • paid advertisements;
  • courses;
  • newsletters;
  • books;
  • merchandise;
  • digital products;
  • websites;
  • apps;
  • podcasts;
  • videos;
  • presentations;
  • brand campaigns;
  • paid communities;
  • templates;
  • or other revenue-generating activities.
Sharing a link to original Cole Heaux™ content is permitted.
Limited quotation, commentary, criticism, reporting, parody, scholarship, or other uses protected by applicable law are not prohibited by these Terms.
Nothing in these Terms is intended to restrict lawful fair use or other rights that cannot legally be waived.

6. NO UNAUTHORIZED MERCHANDISE OR COMMERCIAL PRODUCTS

You may not manufacture, reproduce, sell, offer for sale, distribute, or commercially exploit merchandise or products using protected Cole Heaux™ materials without prior written permission.
This includes unauthorized use of:
  • logos;
  • wordmarks;
  • artwork;
  • original graphics;
  • original textile or surface-pattern artwork;
  • label designs;
  • campaign art;
  • proprietary visual treatments;
  • or other protectable collection assets.
You may not falsely market a product as:
  • “Cole Heaux inspired”;
  • an official collaboration;
  • an authorized reproduction;
  • an official derivative;
  • or otherwise associated with Cole Heaux™
when no such authorization exists.
General fashion ideas, concepts, methods, trends, functional garment features, or unprotectable elements are not claimed as exclusive merely because they appear on this Site. Protection applies only to rights actually recognized under applicable law.

7. AUTOMATED SCRAPING, DATA EXTRACTION, AND AI USE

Except where applicable law provides otherwise, or we provide prior written permission, you may not use automated systems to extract, collect, reproduce, or commercially exploit substantial amounts of Cole Heaux™ content.
Prohibited automated activity includes, where legally enforceable:
  • scraping;
  • crawling for unauthorized commercial extraction;
  • bulk downloading;
  • dataset creation;
  • text-and-data harvesting;
  • automated copying;
  • or systematic content extraction.
You may not knowingly use protected Cole Heaux™ content without authorization to train, fine-tune, develop, benchmark, populate, or commercially enhance a generative artificial-intelligence model or commercial dataset where such restriction is legally enforceable.
Nothing in this section is intended to prohibit activity that applicable law expressly permits regardless of these Terms.

8. PHOTOGRAPHS, IMAGE, VOICE, AND LIKENESS

Photographs, video, audio, voice recordings, portraits, and other materials appearing on this Site may contain protected copyrighted works and/or personal identity interests.
You may not use a person's image, voice, likeness, name, or recognizable persona from this Site to falsely imply:
  • endorsement;
  • sponsorship;
  • affiliation;
  • advertising participation;
  • or approval of your product, service, business, campaign, or message.
Rights involving a person's name, image, and likeness may arise under state law and other legal doctrines in addition to intellectual-property law. The USPTO also recognizes that names, images, voices, catchphrases, and similar identifiers can form part of a commercial brand. USPTO

9. ENFORCEMENT OF INTELLECTUAL-PROPERTY RIGHTS

Cole Heaux™ reserves the right to investigate and respond to suspected infringement or unauthorized exploitation of protected materials.
Depending on the circumstances and applicable law, enforcement may include:
  • cease-and-desist demands;
  • platform infringement reports;
  • hosting-provider notices;
  • social-platform takedown requests;
  • search-engine removal requests;
  • marketplace complaints;
  • demands for accounting of profits;
  • negotiated settlements;
  • injunctive relief;
  • actual damages;
  • statutory damages where available;
  • recovery of infringer profits where authorized;
  • attorneys’ fees where recoverable;
  • litigation costs where recoverable;
  • and any other remedies available under applicable law.
Nothing in these Terms guarantees that any particular remedy or amount will be available in a specific case.

10. COPYRIGHT COMPLAINTS

If you believe material appearing on the Site infringes copyright that you own or are authorized to enforce, please contact us through the contact information provided on the Site and include enough information for us to identify and evaluate the claim.
A copyright complaint should generally identify:
  1. the copyrighted work claimed to be infringed;
  2. the allegedly infringing material;
  3. where the material appears;
  4. your contact information;
  5. your basis for claiming rights in the work; and
  6. any other information reasonably necessary to evaluate your request.
Formal DMCA notices have specific statutory requirements. The U.S. Copyright Office identifies those requirements in its Section 512 guidance. U.S. Copyright Office
This section does not represent that Cole Heaux™ is required to maintain a registered DMCA agent unless applicable law requires one.

11. USER SUBMISSIONS, PITCHES, AND IDEAS

The Site may allow you to submit:
  • booking inquiries;
  • collaboration proposals;
  • segment applications;
  • pitches;
  • stories;
  • concepts;
  • questions;
  • feedback;
  • messages;
  • or other materials (“Submissions”).
You retain ownership of original materials you submit, subject to any separate written agreement.
By submitting materials through the Site, you grant us a limited permission to receive, store, review, internally share, and evaluate the Submission for the purpose for which you provided it and to contact you regarding it.
Submission of an idea does not create:
  • a partnership;
  • employment relationship;
  • agency relationship;
  • joint venture;
  • fiduciary relationship;
  • confidentiality obligation;
  • compensation obligation;
  • booking;
  • collaboration agreement;
  • production commitment;
  • or obligation to use the idea.
Unless we have entered into a written confidentiality or nondisclosure agreement beforehand, please do not submit information you consider a trade secret or information that must remain legally confidential.

12. SIMILAR OR INDEPENDENT IDEAS

Because Cole Heaux™ develops ongoing creative, editorial, media, merchandise, and business concepts, we may already be developing — or may later independently develop — ideas, themes, topics, products, formats, or projects that resemble something submitted by another person.
Submission of an idea does not give the submitter ownership over independently created material merely because of general similarity.
Nothing in this provision gives Cole Heaux™ ownership of your original protectable work.

13. PULL UP A MIC, BOOKINGS, AND PARTICIPATION

Submitting a Join a Segment, Book Cole™, Pitch Something, contact, or similar form starts an inquiry only.
Submission does not guarantee:
  • selection;
  • participation;
  • an appearance;
  • a booking;
  • acceptance of a pitch;
  • publication;
  • a partnership;
  • compensation;
  • or availability.
Additional written terms, releases, appearance agreements, licensing agreements, booking agreements, confidentiality agreements, or other contracts may be required before participation or collaboration.
If a later written agreement conflicts with these Terms regarding a specific engagement, the signed written agreement controls for that engagement.

14. RECORDINGS AND APPEARANCES

Submitting a form by itself does not grant Cole Heaux™ unlimited rights to record, publish, distribute, edit, or commercially exploit your voice, image, likeness, or appearance.
Those permissions may be addressed in a separate release or participation agreement before recording or publication.
This is intentional.

15. COMMENTS, COMMUNITY PARTICIPATION, AND CONDUCT

If interactive or community features are offered, you agree not to use them to:
  • harass;
  • threaten;
  • stalk;
  • impersonate others;
  • publish unlawful material;
  • violate another person's privacy;
  • infringe intellectual property;
  • distribute malware;
  • engage in fraud;
  • interfere with Site security;
  • or abuse other users.
We may remove content or restrict access where reasonably necessary to protect the Site, its users, the brand, or legal rights.

16. THIRD-PARTY LINKS AND SERVICES

The Site may contain links to third-party websites or services, including:
  • social-media platforms;
  • payment providers;
  • Shopify services;
  • embedded applications;
  • vendors;
  • media platforms;
  • or other external resources.
We do not control third-party websites and are not responsible for their independent content, availability, privacy practices, security, or terms.
Separate terms may govern use of third-party services.

17. PRODUCTS AND FUTURE SHOP SALES

Cole Heaux™ may offer physical or digital products in the future.
Product availability, descriptions, pricing, inventory, delivery terms, refund terms, and other sales conditions may be governed by additional policies displayed at the time of purchase.
Where additional purchase-specific terms conflict with these Terms regarding a transaction, the more specific purchase terms will govern that transaction.
Consumer rights that cannot legally be waived remain unaffected.

18. INFORMATIONAL AND EDITORIAL CONTENT

Content on Cole Heaux™ may discuss subjects such as:
  • relationships;
  • money;
  • career;
  • personal development;
  • business;
  • culture;
  • motherhood;
  • lifestyle;
  • wellness;
  • or other life experiences.
Unless expressly stated otherwise, this material is provided for general informational, editorial, entertainment, or personal-expression purposes.
It is not individualized:
  • legal advice;
  • financial advice;
  • medical advice;
  • mental-health treatment;
  • tax advice;
  • or other licensed professional advice.
You remain responsible for decisions you make based on your own circumstances.

19. NO GUARANTEE OF RESULTS

We do not guarantee that use of the Site, its content, products, or services will produce a particular personal, financial, business, relationship, career, or other result.
Individual experiences vary.

20. SITE AVAILABILITY

We may modify, suspend, update, remove, or discontinue portions of the Site at any time.

22. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COLE HEAUX™ AND ITS OWNER, AFFILIATES, CONTRIBUTORS, SERVICE PROVIDERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SITE WHERE SUCH LIMITATION IS LEGALLY PERMITTED.
Nothing in these Terms limits liability that applicable law does not permit us to limit or exclude.

23. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless the Site owner and its affiliates, representatives, and service providers from third-party claims, damages, liabilities, and reasonable costs arising from your:
  • unlawful use of the Site;

These Terms will be governed by applicable United States law and the laws of the state having a legally sufficient relationship to the owner and operation of Cole Heaux™, without giving effect to conflict-of-law rules, except where mandatory consumer law requires otherwise.

26. DISPUTES

Before filing a non-emergency legal action relating to these Terms, the parties are encouraged to attempt in good faith to resolve the dispute informally.
Nothing in this section prevents either party from seeking immediate injunctive or equitable relief when reasonably necessary to protect intellectual property, confidential information, security, or other rights for which delay could cause irreparable harm.
Any mandatory rights available to consumers under applicable law remain unaffected.

27. SEVERABILITY

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

28. NO WAIVER

Failure to enforce a provision of these Terms does not waive the right to enforce it later.

29. CHANGES TO THESE TERMS

We may update these Terms from time to time.
The current version will be posted on this Site with an updated “Last Updated” date.
Your continued use of the Site after revised Terms take effect constitutes acceptance to the extent permitted by applicable law.
